Terms of service

1. Acceptance of Terms

By creating an account, accessing, or using Quoti (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who deal with the Service ("Users," "You," or "Your").

2. Description of Service

Quoti is a software-as-a-service (SaaS) platform designed to help service-based businesses manage their operations. Features include, but are not limited to, online booking, quote generation, scheduling, invoicing, client management ("Client Hub"), and automated communications (SMS/Email).

We offer different subscription tiers (e.g., Core, Scale, Plus). Access to specific features depends on the plan you select.

3. Accounts and Registration

To use the Service, you must register for an account. By registering, you agree that:

  1. You are providing accurate, current, and complete information.
  2. You are responsible for safeguarding your password and account details.
  3. You accept responsibility for all activities that occur under your account.
  4. You are an authorized representative of the business entity for which you are creating the account.

4. Subscription, Billing, and Cancellation

4.1. Free Trials

If you register for a free trial, you will not be charged until the trial period expires. If you do not cancel before the trial ends, you will be automatically charged the subscription fee for the plan you selected.

4.2. Payments

We use a third-party payment processor (Stripe) to handle secure payments. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually) according to your selected plan.

4.3. Upgrades and Downgrades
  • Upgrades: If you upgrade your plan (e.g., from Core to Scale), the change will take effect immediately. You will be charged a prorated amount for the remainder of the billing cycle.
  • Downgrades: If you downgrade your plan, the change will take effect at the end of your current billing cycle.
4.4. Cancellation

You may cancel your subscription at any time via the "Billing" or "Settings" section of your dashboard.

  • Upon cancellation, you will continue to have access to the Service through the end of your current billing period.
  • We do not offer refunds for partial months or unused service.

5. Communications and SMS (Important)

Our Service allows you to send emails and SMS text messages (e.g., "On My Way" alerts, Quote Follow-ups) to your end-clients.

By using these features, you represent and warrant that:

  1. You have obtained all necessary consents and permissions from your clients to contact them via email and SMS in compliance with applicable laws (such as the TCPA in the US, GDPR in Europe, or CASL in Canada).
  2. You will honor all opt-out requests (e.g., "STOP" replies) immediately.
  3. Quoti is merely a facilitator of these messages and is not liable for the content of your messages or your failure to obtain consent.

6. User Content and Data

"User Content" refers to the data you input into the Service (e.g., client lists, job addresses, service pricing, company logos).

  • Ownership: You retain all rights to your User Content. We do not claim ownership of your data.
  • License: You grant us a license to host, copy, and display your User Content solely as required to provide the Service to you (e.g., displaying your logo on an invoice sent to your client).

7. Prohibited Uses

You agree not to use the Service to:

  1. Violate any national or international laws.
  2. Send unsolicited spam or fraudulent messages.
  3. Upload malicious code, viruses, or data designed to harm the Service.
  4. Attempt to reverse-engineer the platform or copy our features/interface to build a competing product.

8. Third-Party Integrations

Our Service utilizes third-party services, including but not limited to Google Maps (for GPS/Routing) and Stripe (for payments). Your use of these features is also subject to the Terms of Service of those third-party providers.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OF THE SERVICE, THE ACCURACY OF MAP DATA, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REVENUE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

Practical Translation: If our server goes down and you miss a booking, we are not liable for the lost income of that job.

11. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice, if you breach these Terms (e.g., missed payments, using the SMS feature for spam).

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Québec, Canada, without regard to its conflict of law provisions.
